AGREEMENT TO OUR LEGAL TERMS

Please read these Terms of Use ("Terms", "Terms of Use") carefully before using the Resolve App ("the App", "the Services") operated by KnBases LLC ("us", "we", or "our").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and KnBases LLC, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. These Terms apply to all visitors, users, and others who access or use the App.

We will provide you with prior notice of any scheduled changes to the Services you are using. The modified Legal Terms will become effective upon posting or notifying you by mailbot@knbases.com, as stated in the email message. By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms.

1. Use of the App

1.1. Resolve App is designed to manage incidents and requests within Microsoft Teams™.

1.2. You must be a registered user of Microsoft Teams™ to use the App.

1.3. You agree to use the App only for its intended purposes and in compliance with these Terms and any applicable laws and regulations.

1.4. The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services.

1.5. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

2. User Responsibilities

2.1. You are responsible for maintaining the confidentiality of your Microsoft Account.

2.2. You agree not to use the App for any unlawful purpose or in any way that could damage, disable, overburden, or impair the App.

3. Intellectual Property

3.1. The App and its original content, features, and functionality are and will remain the exclusive property of KnBases LLC and its licensors.

4. Data Privacy and Protection

4.1. Our collection and use of personal information in connection with your access to and use of the App is described in our Privacy Notice.

4.2. We implement the following data protection measures:

  • File Attachments: Stored exclusively in your organization's Microsoft 365 account.

  • Incident Data: Stored on Google Cloud servers in the US, protected by stringent security measures and compliant with US data protection laws.

  • Data Encryption: All data is encrypted both in transit and at rest.

  • Compliance: We adhere to major international data protection regulations and industry-standard security protocols.

4.3. Data Retention and Account Closure:

4.3.1. Only organization administrators have the authority to request the closure of their organization's account.

4.3.2. Upon account closure request by an organization administrator, we implement a 30-day data retention period during which:

  • All organization data remains securely stored
  • The account can be reactivated upon administrator request
  • All data remains accessible if reactivation occurs

4.3.3. After the 30-day retention period:

  • All organization data, including incident history, requests, and associated information for all users within the organization, will be permanently and securely deleted
  • This deletion is irreversible and includes all data related to the organization
  • No data recovery will be possible after this period

4.3.4. This data retention and disposal process is designed to ensure both data security and organizational privacy while providing a reasonable timeframe for potential account reactivation or data recovery if needed.

5. Subscription and Pricing

5.1. Resolve App offers two plans:

  • Free Plan: Includes unlimited users for reporting and tracking incidents within Microsoft Teams™, plus two (2) technician users. Technicians are members of technical teams, created to handle and resolve incidents/requests.

  • Business Plan: Includes all Free Plan features plus the ability to add additional technician users. The first two technicians are included at no cost, with monthly charges applying only for each technician user beyond the initial two.

5.2. The monthly subscription fee is calculated based on the maximum number of technician users registered during the billing period.

5.3. All pricing, plans, and related transactions are processed internally through our payment processor, Stripe.

5.5. Any changes to the subscription model or pricing will be communicated through our official channels and directly to registered users.

6. Disclaimer of Warranties

6.1. The services are provided on an "AS-IS" and "AS-AVAILABLE" basis. You agree that your use of the services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the services and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.2. We make no warranties or representations about the accuracy or completeness of the services' content or the content of any websites or mobile applications linked to the services and we will assume no liability or responsibility for any (1) errors, mistakes, or inaccuracies of content and materials, (2) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the services, (3) any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein, (4) any interruption or cessation of transmission to or from the services, (5) any bugs, viruses, trojan horses, or the like which may be transmitted to or through the services by any third party, and/or (6) any errors or omissions in any content and materials or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available via the services.

7. Limitation of Liability

7.1. In no event shall KnBases LLC be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the App.

8. Termination

8.1. We may terminate or suspend access to our App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

8.2. If we terminate or suspend your account for any reason, you are prohibited from registering a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

9. Changes to Terms

9.1. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes to these Terms.

10. Governing Law

10.1. These Terms shall be governed and construed in accordance with the laws of United States, without regard to its conflict of law provisions.
